7. AI and intelligence limitations
The Service uses automated systems, artificial intelligence, matching algorithms and, in some cases, analyst review.
Results may contain:
- errors or omissions;
- outdated or incomplete information;
- inaccurate summaries or classifications;
- false-positive or false-negative matches;
- incorrect relevance scores;
- missing opportunities or developments; or
- conclusions that require additional context.
A relevance score, recommendation or identified connection does not establish that an opportunity, requirement, procurement activity or commercial relationship actually exists.
ALIAS Intel does not guarantee that: every relevant article, solicitation or development will be identified; every identified item will be relevant; summaries, scores or classifications will be accurate; source information will remain available; displayed deadlines will remain current; or use of the Service will result in sales, contracts, revenue or other commercial outcomes.
Customers must independently review and verify information before acting on it.
8. No professional advice
The Service provides general business intelligence. It does not provide legal, financial, investment, tax, engineering, certification, procurement, cybersecurity, export-control or regulatory advice.
Customers remain responsible for evaluating the information provided through the Service and obtaining professional advice where appropriate.
9. Solicitations and procurement information
ALIAS Intel may identify or summarize solicitations, requests for proposals, requests for information, government notices, funding opportunities and other procurement information.
ALIAS Intel is not the issuing authority and does not control these opportunities.
Customers must verify the complete notice, amendments, eligibility requirements, submission instructions and deadlines directly through the issuing authority’s official system.
An ALIAS Intel summary, alert or displayed deadline does not replace or modify the official notice.
10. Third-party sources
The Service may contain information obtained from or linking to third-party websites, publications, government systems, news organizations and manufacturers.
Third-party content remains the property of its respective owner.
ALIAS Intel does not control and is not responsible for:
- the accuracy, completeness or availability of third-party content;
- changes made after information is collected;
- content removed or placed behind a paywall;
- third-party website terms or privacy practices; or
- products or services offered by third parties.
Customers must comply with applicable third-party terms when accessing source material.
11. Intellectual property
ALIAS Intel and its licensors retain all rights in the Service, including its software, branding, databases, workflows, prompts, matching methods, scoring systems, taxonomies, reports and original content.
Subject to payment and compliance with these Terms, ALIAS Intel grants the Customer a limited, non-exclusive, non-transferable and revocable right to use the Service during the subscription period for internal business purposes.
No ownership rights are transferred to the Customer.
The ALIAS Intel name, logo and associated branding may not be used without written permission.
12. Confidentiality and privacy
Each party must protect the other party’s non-public business, technical and commercial information using reasonable safeguards and may use it only for purposes connected with the Service.
Confidentiality obligations do not apply to information that:
- was already lawfully known;
- becomes public without breach;
- is lawfully received from another source; or
- is independently developed.
ALIAS Intel processes personal information in accordance with its Privacy Policy, available at https://www.alias-intel.com.
The Customer is responsible for obtaining any notices or consents required before providing user, recipient or contact information to ALIAS Intel.
13. Security and availability
ALIAS Intel will maintain reasonable administrative, technical and organizational safeguards appropriate to the Service.
No internet-based service is completely secure or continuously available. ALIAS Intel does not guarantee that unauthorized access, data loss, security incidents, errors or interruptions will never occur.
The Service may be temporarily unavailable because of maintenance, upgrades, source changes, internet failures, cybersecurity events, third-party interruptions or circumstances outside ALIAS Intel’s reasonable control.
Specific service commitments apply only where included in a separately signed service-level agreement.
14. Suspension and termination
ALIAS Intel may suspend access where reasonably necessary to:
- address a security risk;
- prevent unlawful or unauthorized use;
- protect the Service or another customer;
- respond to overdue payment;
- comply with law; or
- investigate a material breach.
Where reasonably possible, ALIAS Intel will provide notice and an opportunity to correct the issue.
The Customer may cancel through the available billing controls or by contacting info@alias-intel.com. Cancellation takes effect at the end of the current paid period.
Either party may terminate for a material breach that remains uncured for 30 days after written notice.
ALIAS Intel may terminate immediately where continued access would create a material legal, security, sanctions, export-control or operational risk.
Upon termination, the right to access the Service ends. Payment obligations, confidentiality, intellectual-property protections, disclaimers, liability limitations and other provisions that should reasonably survive will remain effective.
15. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided on an “as available” basis.
ALIAS Intel disclaims implied warranties and conditions of merchantability, fitness for a particular purpose, title, non-infringement and any warranty arising from usage or course of dealing.
ALIAS Intel does not warrant that the Service will be uninterrupted, completely secure, error-free or suitable for every Customer’s requirements.
Nothing in these Terms excludes a right or warranty that cannot legally be excluded.
16. Limitation of liability
To the maximum extent permitted by law, ALIAS Intel will not be liable for indirect, incidental, special, punitive, exemplary or consequential damages, or for lost profits, lost revenue, lost opportunities, loss of goodwill or loss of data.
ALIAS Intel’s total aggregate liability arising from the Service or these Terms will not exceed the fees paid or payable by the Customer to ALIAS Intel during the 12 months preceding the event giving rise to the claim.
For a free trial or free service, ALIAS Intel’s total aggregate liability will not exceed USD $100.
These limitations apply regardless of the legal theory asserted and apply collectively to ALIAS Intel, its owner, affiliates, personnel, contractors and suppliers.
Nothing limits liability that cannot legally be limited, including liability arising from intentional or gross fault or liability for bodily or moral injury where applicable law prohibits such limitation.
17. Indemnification
The Customer will defend and indemnify ALIAS Intel and its personnel against third-party claims, damages, penalties, costs and reasonable legal fees arising from:
- Customer Data that infringes another person’s rights;
- unlawful or unauthorized use of the Service;
- violation of sanctions or export-control requirements;
- prohibited or controlled information submitted to the Service;
- breach of the acceptable-use restrictions; or
- use of ALIAS Intel outputs in a prohibited or unlawful context.
This obligation does not apply to the extent the claim was caused by ALIAS Intel’s intentional misconduct or gross fault.
18. Governing law
These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable in Québec.
Subject to mandatory law, proceedings relating to these Terms will be brought before a court of competent jurisdiction in Québec, Canada.
Before commencing formal proceedings, the parties will attempt in good faith to resolve the dispute through written notice and reasonable business discussions for at least 30 days, unless urgent relief is required.
19. Language
Where required by law, a French version of these Terms will be provided before acceptance.
After receiving the French version, the parties expressly agree to be bound by the English version and agree that related documents may be prepared in English.
Les parties, après avoir reçu la version française des présentes conditions, ont expressément demandé à être liées par leur version anglaise et que les documents qui s’y rattachent puissent être rédigés en anglais.
20. Changes and general terms
ALIAS Intel may update these Terms periodically. Material changes will be communicated through the Service, by email or by another reasonable method before taking effect.
These Terms, the applicable order form, Privacy Policy and any expressly incorporated agreement constitute the entire agreement concerning the Service.
A signed order form or separately negotiated agreement takes precedence where it conflicts with these Terms.
The Customer may not assign these Terms without ALIAS Intel’s written consent. ALIAS Intel may assign them in connection with a reorganization, financing, merger, sale of assets or transfer of the Service.
If any provision is unenforceable, it will be modified only to the minimum extent necessary, and the remaining provisions will continue in effect.
